Terms of Service / End-User License Agreement

Effective September 20, 2026

These Terms of Service and End-User License Agreement ("Terms") govern access to and use of ProfX software and services provided by ProfX Technologies ("ProfX," "we," "us," or "our"). By creating an account, signing an order or agreement, or using ProfX, you agree to these Terms.

1. Service

ProfX Technologies provides software for business operations, customer relationship management, estimating, scheduling, communications, automation, job management, reporting, integrations, and related contractor workflows.

2. Account and authorized use

You are responsible for maintaining accurate account information, controlling access to your workspace, and ensuring that users you authorize comply with these Terms. You may use ProfX only for lawful business purposes.

3. Customer communications

If you use ProfX to send text messages, email, reminders, follow-up, or other communications, you are responsible for obtaining any consent required by law and for the content, timing, and recipients of those communications. ProfX may use third-party communications providers to deliver messages.

4. Third-party services and integrations

ProfX may connect with third-party services such as Google Workspace, QuickBooks Online, payment processors, communications providers, cloud hosting providers, and AI services. Those services are governed by their own terms and privacy practices. Availability or behavior of a third-party integration may change when that provider changes its API, policies, or services.

5. Payments

When ProfX connects to a payment processor, the processor—not ProfX—handles payment processing, card data, settlement, chargebacks, and related regulated payment services unless expressly stated otherwise. Fees charged by third-party processors are separate from ProfX subscription fees.

6. AI-assisted features

ProfX may provide AI-assisted recommendations, summaries, estimates, drafts, classifications, or workflow suggestions. AI output can be incomplete or inaccurate and should be reviewed before being relied on for financial, legal, safety, pricing, customer, or operational decisions.

7. Data and content

You retain ownership of business data and content that you submit to ProfX. You grant ProfX the rights reasonably necessary to host, process, transmit, display, back up, and otherwise use that data to provide and improve the service.

8. Security and acceptable use

You may not attempt to gain unauthorized access to ProfX, interfere with its operation, reverse engineer protected portions of the service except where law expressly permits it, use the service to distribute malicious content, or use ProfX in violation of applicable law.

9. Availability and changes

ProfX may add, modify, suspend, or discontinue features from time to time. We may perform maintenance and may depend on third-party systems that experience outages or changes outside our control.

10. Subscription, fees, and cancellation

Paid plans, seat charges, usage charges, add-ons, implementation services, website services, discounts, and billing terms are governed by the order, contract, checkout terms, or subscription terms presented when the service is purchased. Unless otherwise agreed in writing, cancellation stops future renewal but does not automatically refund prior charges.

11. Disclaimer

To the maximum extent permitted by law, ProfX is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted operation, specific financial results, sales outcomes, or that every automation or integration will be error-free.

12. Limitation of liability

To the maximum extent permitted by law, ProfX Technologies will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from use of the service. Any direct liability will be limited to amounts paid to ProfX for the service during the twelve months preceding the event giving rise to the claim, unless applicable law requires otherwise.

13. Termination

We may suspend or terminate access for nonpayment, material breach, fraud, abuse, security risk, unlawful use, or conduct that materially threatens ProfX or other users. You may stop using the service at any time, subject to applicable billing and contract terms.

14. Changes to these Terms

We may update these Terms as the service evolves. The revised version will be posted on this page with an updated effective date. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.

15. Contact

Questions about these Terms may be sent to jake@getprofx.com.

These Terms are intended to provide a practical baseline for the ProfX service and may be supplemented by a signed customer agreement, order form, statement of work, or other written terms.
